What is the difference between filing taxes as an LLC vs. an S-Corp?

A standard Single-Member or Multi-Member LLC is treated by default as a pass-through entity where 100% of net profits are subject to federal and state income tax plus self-employment taxes (15.3% for Social Security and Medicare).

By making an S-Corporation election (filing IRS Form 2553), business owners become employee-shareholders. You pay yourself a 'reasonable W-2 salary' (which is subject to payroll taxes), while the remaining company profits pass through as shareholder distributions—completely exempt from the 15.3% self-employment tax.

Rule of Thumb: When your company consistently nets over $60,000 to $80,000 in annual profit, an S-Corp election typically produces significant tax savings (often $4,000 to $10,000+ per year). We perform a complimentary revenue analysis to model your exact savings before making the election.

When are corporate tax returns due compared to individual taxes?

Corporate tax filing deadlines depend directly on your legal entity structure:

  • March 15th: S-Corporations (Form 1120-S) and Partnerships (Form 1065). These are due one full month earlier than personal returns so that Schedule K-1 forms can be issued to owners before their personal April deadline.
  • April 15th: C-Corporations (Form 1120), Sole Proprietorships, and Single-Member LLCs (reported on personal Schedule C).

Need More Time? We can file IRS Form 7004 on your behalf to grant an automatic 6-month filing extension (extending S-Corp/Partnership deadlines to September 15th and C-Corps to October 15th). Please note that an extension to file is not an extension to pay any estimated tax owed.
